Regulatory Framework

Who Needs an External Audit in the UAE?

While audit requirements vary by authority and legal structure, independent external audits are increasingly central to operating legally and competitively in the UAE.

Mainland Companies

Under Federal Decree-Law No. 32 of 2021 (the Commercial Companies Law), many mainland LLCs and public joint-stock companies are required to have their accounts audited annually by licensed auditors for general assembly review and licensing renewal.

Free Zone Entities

Most UAE free zones, including DMCC, JAFZA, DAFZA, DIFC, ADGM and DSO, mandate the submission of annual audited accounts as a mandatory condition for annual trade licence renewal.

Qualifying Free Zone Persons (QFZP)

Under Cabinet Decision No. 55 of 2023, preparing and maintaining audited IFRS financial statements is a non-negotiable statutory condition to qualify for the 0% corporate tax rate on qualifying income.

Lenders & Financing Institutions

Commercial banks, trade finance houses, and institutional investors across the UAE require independent audited financial statements before approving or renewing corporate credit lines.

Yes. Each free zone authority sets its own filing requirements and deadlines for audited accounts, typically tied to annual trade licence renewal. We coordinate audit timelines to align with your specific free zone's regulatory calendar.

Key documents include trial balance and general ledger, draft financial statements, bank reconciliations and statements, fixed asset register, inventory count sheets, debtor and creditor ageing reports, loan and lease agreements, board minutes, and legal agreements.

The audit opinion depends on all relevant findings, sufficient audit evidence and any remaining material misstatements. Correcting an identified error does not by itself determine the final opinion.

Auditor independence rules strictly regulate whether an auditor can provide bookkeeping or financial statement preparation services to an audit client. Where independence conflicts arise, we cannot act as both bookkeeper and statutory auditor. We maintain strict ethical safeguards and will advise on the appropriate engagement structure for your firm.
